EGG DONOR REPRESENTATION AGREEMENT

THIS AGREEMENT commences the ___ day of _________, 2008, between The Law Offices of Esteban Gergely, LLC, 30 Courthouse Square, Suite 104, Rockville, MD 20850, a law firm, hereinafter referred to as (“the Firm”) and ____________, the Egg donor.

1. SCOPE OF REPRESENTATION. Esteban Gergely hereby agrees to represent the Egg donor, for the purposes of providing representation to her, and reviewing and negotiating the egg donor contract on her behalf. Representation does not include representation in any contested matters related to this arrangement.

2. FEE AMOUNT. The Firm shall be compensated by The Embryo Bank for legal services provided to the Egg donor for reviewing and negotiating the contract on her behalf. The Egg donor will not pay The Firm.

3. ATTORNEY/CLIENT RELATIONSHIP. It is understood by the Egg donor that The Firm and the Egg donor would have an attorney/client relationship and all conversations between them will be kept confidential. Although the Embryo Bank will be the Third-Party Payor, The Firm is in no way representing them in their legal objectives. The Embryo Bank will consult with their own attorney independent of The Firm for legal advice.

By signing below, the Egg donor acknowledges that she has read this Contract in its entirety, agrees to the contents, and has received a copy.
